These Terms of Business and Conditions of Use (collectively, the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," "Creator," or "Business"), and Protikriya.com ("we," "us," or "our"), concerning your access to and use of the Protikriya.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform" or "Services").

By registering an account, purchasing viewing tokens, uploading video feedback, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1. DEFINITIONS

• "Platform" refers to the Protikriya.com website and all its associated subdomains and features.
• "Creator" / "Reviewer" refers to a registered User who uploads video feedback, product reviews, or other User-Generated Content to the Platform.
• "Business" / "Client" refers to a registered User or corporate entity that purchases Tokens or makes direct payments to unlock and view the video feedback provided by Creators.
• "Tokens" are the proprietary digital credits purchased by Businesses to access specific locked video content on the Platform.
• "User-Generated Content" (UGC) refers to all videos, audio, text, profile pictures, reviews, and comments uploaded by Users.

2. USER ACCOUNTS & FRAUD PREVENTION

To use the core features of the Platform, you must register for an account. You must be at least eighteen (18) years of age. All registration information you submit must be true, accurate, current, and complete.

3. USER-GENERATED CONTENT (UGC) & STRICT VIDEO RULES

Protikriya.com is a professional B2B marketplace designed for authentic video feedback. We maintain strict quality control. When uploading UGC to the Platform, you agree to the following mandatory rules:

• Authenticity & Truthfulness: All video reviews must reflect your genuine, unbiased experience. Fake reviews, paid deceptive testimonials, or artificially generated content (manipulation) are strictly prohibited.
• Prohibited Content: You shall not upload videos that contain hate speech, harassment, nudity, explicit content, spam, phishing, or copyrighted music/logos without permission.
• Zero-Tolerance Blocking Policy: We employ rigorous moderation systems. If any uploaded video breaks our rules, contains prohibited material, or violates these Terms in any way, the video will be instantly blocked and permanently deleted.
• Right to Remove: We reserve the absolute right to remove, delete, or hide any video at any time, without prior notice or reason, if we deem it low-quality or unfit for our marketplace.

5.1 License Granted by You

You retain full ownership of the original video content you create and upload. However, by uploading your UGC to Protikriya.com, you automatically grant us an unrestricted, irrevocable, worldwide, royalty-free license to host, use, copy, reproduce, publicly display, and distribute your video to the specific Businesses who utilize Tokens or direct payments to unlock your content.

5.2 Storage Policy

To optimize server performance, Protikriya.com reserves the right to permanently delete uploaded videos that have not been unlocked, purchased, or viewed for a period exceeding 180 days.

5.3 Brand Protection

Users are strictly prohibited from using the Protikriya.com name, logo, or trademark in independent promotions, offline marketing, or third-party platforms without our express prior written permission.

6. TOKEN SYSTEM, DIRECT PURCHASES & FINANCIAL TRANSACTIONS

To access and view premium video feedback, Businesses may utilize the Platform's proprietary Token system or make direct purchases.

• Welcome Bonus (10 Free Tokens): New users may receive ten (10) complimentary tokens upon their first successful account registration. These promotional tokens hold no cash value, are non-refundable, and cannot be transferred. Any attempt to exploit this promotion by creating multiple accounts from the same device/IP will trigger an immediate and permanent ban.
• Hybrid Payments: Users can unlock videos using predefined Token packs or via direct one-time cash payments through our secure third-party payment processors (e.g., Stripe, Razorpay).
• Payment Verification: To prevent credit card fraud, we reserve the right to temporarily hold payments, suspend token delivery, or request identity verification documents before processing suspicious transactions.
• No Cash Value: Tokens are digital licenses for accessing content. They hold no real-world monetary value, cannot be exchanged for cash, and cannot be transferred to other Users.
• Tax Responsibility: Users and Businesses are solely responsible for determining and paying any applicable local, state, or federal taxes (including GST and Income Tax) associated with their transactions or earnings on the Platform.

7. STRICT REFUND & CANCELLATION POLICY

Due to the digital nature of the Services, we operate under a strict refund framework:

We do not offer refunds for accidental purchases or individual direct video purchases. Furthermore, if a Business unlocks a video that is subsequently found to violate our Content Rules and is deleted, no automatic refund will be issued. Businesses may contact Support for a token credit review, which is granted solely at our discretion.

8. CREATOR EARNINGS & USER DISPUTES

• No Guarantee of Earnings: Protikriya.com acts solely as a marketplace bridging Creators and Businesses. We do not guarantee any fixed income, sales volume, or financial success for Creators uploading videos. Earnings are entirely dependent on Business demand.
• Disputes Between Users: In the event of a dispute between a Creator and a Business (e.g., disagreements over video quality or product facts), Protikriya.com is under no obligation to mediate or resolve the conflict. Users agree to resolve such matters independently.

9. DISCLAIMER OF WARRANTIES & SYSTEM MAINTENANCE

The Platform is provided on an AS-IS and AS-AVAILABLE basis. You agree that your use of the Platform will be at your sole risk.

System Downtime: We do not guarantee continuous, uninterrupted access to the Platform. The site may occasionally be down for technical maintenance, upgrades, or unforeseen server issues. Protikriya.com will not be held liable for any financial loss, missed opportunities, or damages incurred due to system downtime.

10. LIMITATION OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform. We take no responsibility for any business decisions, financial losses, or reputational damage incurred by a Business relying on the User-Generated video feedback provided on this Platform.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and your use of the Platform are governed by and construed in accordance with the laws of India. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the courts located in India.
